These Terms & Conditions (“Terms”) govern your access to and use of the NKD mobile application and related services (together, the “Service”). By creating an account or using the Service, you agree to be bound by these Terms. If you use the Service on behalf of a company, you represent that you have authority to bind that company, and “you” refers to both you and the company.
1. The Service
NKD is a factory management system that converts operational spreadsheets into digital production workflows. Features include one-time spreadsheet import (via file upload or Google Drive), AI-assisted workflow mapping, just-in-time task execution, and read-only data exports. We may add, change, or remove features as the Service evolves.
2. Eligibility and accounts
- You must be at least 16 years old and legally able to enter into these Terms.
- You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
- You must provide accurate registration information and keep it up to date. Notify us promptly of any unauthorized use of your account.
3. Your data
- You own your data. Spreadsheets you import, and the operational data your team enters into the Service, remain yours.
- You grant us a limited license to host, process, and display that data solely to provide and support the Service, as described in our Privacy Policy.
- You are responsible for the accuracy and legality of the data you submit, and for ensuring you have the right to import any spreadsheet you connect or upload.
- Company administrators control which team members can access their company’s workspace and at what role.
4. Google integrations
Signing in with Google and importing from Google Drive are optional. Your use of Google services through the Service is also subject to Google’s own terms and privacy policy. Our handling of data received from Google APIs is described in our Privacy Policyand complies with the Google API Services User Data Policy, including its Limited Use requirements. You may revoke the Service’s access to your Google account at any time.
5. Acceptable use
You agree not to:
- use the Service in violation of applicable law or third-party rights;
- attempt to gain unauthorized access to the Service, other companies’ data, or our infrastructure;
- reverse-engineer, resell, or provide the Service to third parties as a service bureau without our written consent;
- upload malicious code or use the Service to store or transmit unlawful content;
- interfere with or disrupt the integrity or performance of the Service.
6. Intellectual property
The Service — including its software, design, and branding — is owned by us or our licensors and is protected by intellectual-property laws. These Terms do not grant you any rights in the Service other than the limited right to use it in accordance with these Terms.
7. Fees
Parts of the Service may currently be offered free of charge during early access. If we introduce or change paid plans, we will communicate pricing and terms in advance, and continued use of paid features after that notice will constitute acceptance.
8. Availability and support
We aim to keep the Service available and reliable, but it is provided on an “as is” and “as available” basis. We may suspend the Service temporarily for maintenance, upgrades, or security reasons. Support is provided via support@nkd.app.
9. Disclaimers
To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. AI-assisted features (such as spreadsheet-to-workflow mapping) produce suggestions that you must review and approve; you remain responsible for verifying that configured workflows match your operations.
10. Limitation of liability
To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or business opportunities arising from your use of the Service. Our aggregate liability for any claim arising out of or relating to the Service will not exceed the greater of the amounts you paid us for the Service in the twelve months before the claim arose or one hundred US dollars (USD 100).
11. Indemnity
You agree to indemnify and hold us harmless from claims arising out of your data, your use of the Service in violation of these Terms, or your violation of applicable law or third-party rights.
12. Termination
You may stop using the Service and request account deletion at any time. We may suspend or terminate your access if you materially breach these Terms and, where practicable, will give you notice and an opportunity to cure first. Upon termination, your right to use the Service ends; data deletion is handled as described in our Privacy Policy.
13. Governing law
These Terms are governed by the laws of India, without regard to conflict-of-law principles. The courts located in India will have exclusive jurisdiction over disputes arising out of or relating to these Terms, subject to any mandatory consumer protections that apply in your place of residence.
14. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you through the app or by email before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
